KOPLANIT - TERMS OF SERVICE

1. Definitions

  • "Koplanit" refers to Koplanit, the platform operator.
  • "Platform" refers to the Koplanit website, applications, and related services.
  • "User" refers to any person accessing or using the Platform.
  • "Organizer" or "Host" refers to a User who creates or manages an event.
  • "Vendor" refers to a User offering services or venues through the Platform.
  • "Guest" refers to a User invited to or attending an event.
  • "Content" refers to any text, images, messages, listings, or materials submitted through the Platform.
  • "Fees" refers to any subscription, platform, or transaction fees charged by Koplanit.

For clarity, "Vendor" includes venues, property owners, and space providers offering locations for events.

2. Acceptance of These Terms

By accessing or using the Platform, you agree to these Terms.

You affirmatively accept these Terms by:

  • Creating an account, and
  • Checking a box or clicking a button indicating agreement to the Terms of Service and Privacy Policy.

If you do not agree, you may not use the Platform.

3. Eligibility & Account Security

You must be at least 18 years old to use Koplanit.

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activity under your account

You agree to provide accurate and current information.

4. Platform Role and Scope

Koplanit is a planning and coordination platform.

Koplanit:

  • Provides tools to plan events
  • Facilitates communication and discovery
  • Enables vendor listings and coordination

Koplanit does not:

  • Host, operate, or supervise events
  • Provide vendor services
  • Guarantee availability, attendance, safety, outcomes, or experiences

Koplanit does not inspect, certify, or guarantee vendors or venues.

5. User Roles & Responsibilities

Organizer / Host

Organizers are responsible for:

  • Planning and executing events
  • Selecting venues and vendors
  • Guest communication
  • Compliance with laws and venue rules
  • Event safety and logistics

Vendor (Including Venues)

Vendors are independent service providers responsible for:

  • Services or spaces offered
  • Required licenses, permits, and insurance
  • Premises safety, occupancy limits, and compliance (for venues)
  • Taxes and legal obligations
  • Service delivery and communication

Vendors are not employees, partners, or agents of Koplanit.

Guest

Guests attend events at their own discretion and risk and are responsible for:

  • Their conduct and safety
  • Following host and venue rules

6. User Content & License

You retain ownership of your Content.

You grant Koplanit a non-exclusive, worldwide, royalty-free license to host, store, display, modify, and distribute Content solely to operate, promote, and improve the Platform.

You represent that you have all necessary rights to submit Content.

7. Intellectual Property

The Platform and its underlying technology, branding, and features are owned by Koplanit.

Users are granted a limited, revocable, non-transferable license to use the Platform for its intended purpose.

8. Prohibited Conduct

You may not:

  • Use the Platform unlawfully
  • Misrepresent identity or services
  • Harass or abuse users
  • Upload malicious, misleading, or infringing content
  • Circumvent platform fees or safeguards

Koplanit may remove content or suspend accounts at its discretion.

9. Payments, Fees, and Refunds

9.1 Planner Subscription Plans

Koplanit offers three planner tiers: Free ($0), Pro ($29/month), and Business ($79/month). Paid plans are billed on a recurring monthly or annual basis. Current prices are listed on the Platform's pricing page and may be updated with at least 30 days' notice to existing subscribers.

Each tier includes defined limits for active events, guests per event, storage, and team members. Feature access varies by tier as described on the pricing page.

Payments are processed by Stripe. Koplanit does not store credit card numbers and is not responsible for chargebacks or disputes between users and payment processors. Koplanit may retain platform or processing fees where permitted.

9.2 Annual Billing

Annual plans are available at a 20% discount compared to monthly billing. Annual subscriptions are billed once per year in advance. Annual plans are refundable within 14 days of purchase if no paid features have been used. After 14 days, the same cancellation policy in Section 9.3 applies.

9.3 Cancellation

You may cancel your subscription at any time from Settings > Billing. Cancellation takes effect at the end of your current billing period (monthly or annual). You retain full access to your paid features until then.

No partial-period refunds are issued for unused time within a billing cycle. If you believe a charge was made in error, you may contact support@koplanit.com within 30 days to request a review.

9.4 Downgrades

If you downgrade your plan, the change is scheduled for your next billing cycle. You keep access to your current tier's features until then. After the downgrade takes effect, content that exceeds the lower tier's limits becomes read-only — your data is never deleted.

9.5 Planner Success Fees

Certain marketplace actions may incur a one-time success fee, charged only after value has been delivered. Success fee categories include but are not limited to: vendor match acceptance, quote comparison, vendor booking confirmation, run-of-show finalization, client portal sharing, and post-event report generation.

Fee amounts vary by action and planner tier. Business plan subscribers may have most or all success fees included as part of their plan benefits. Success fees are capped per event per billing period to prevent unexpected charges. Current fee amounts and caps are listed on the pricing page.

Success fees are non-refundable once the qualifying action is completed, except in cases of duplicate charges, platform errors, or billing mistakes.

9.6 Vendor Marketplace Plans and Fees

Vendors may list services on the marketplace under the Vendor Basic plan (free) or Vendor Featured plan (paid monthly subscription). Vendor Featured includes enhanced placement, analytics, and reduced lead fees.

Vendors may incur success fees when planners shortlist or book their services through the Platform. Lead fees are charged only when a planner takes a qualifying action. Vendors may pause lead intake at any time. In cases of low-quality or unresponsive leads, vendors may request credits by contacting support.

9.7 Account Data After Cancellation

If your subscription ends, your account data is retained and your account reverts to the Free tier with its standard limits. Events and data that exceed the Free tier's limits become read-only but are never deleted. You can upgrade again at any time to restore full access.

10. Availability and Service Disclaimer

Koplanit does not guarantee uninterrupted access, uptime, or error-free operation of the Platform.

Maintenance, updates, outages, or third-party failures may occur.

11. Third-Party Services

The Platform may integrate third-party services.

Koplanit is not responsible for third-party availability, security, or policies. Use of third-party services is governed by their terms.

12. Disclaimer of Warranties

The Platform is provided "as is" and "as available."

Koplanit disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law:

  • Koplanit is not liable for indirect, incidental, consequential, or punitive damages
  • Koplanit's total liability will not exceed Fees paid to Koplanit in the twelve months preceding the claim

14. Indemnification

You agree to indemnify and hold harmless Koplanit from claims arising from:

  • Your use of the Platform
  • Your Content
  • Events, services, venues, or conduct
  • Violations of law or these Terms

15. Dispute Resolution

You agree to attempt informal resolution before filing a claim.

Unresolved disputes will be resolved through binding arbitration where permitted by law.

You waive participation in class actions, where legally allowed.

16. Force Majeure

Koplanit is not liable for failures caused by events beyond reasonable control, including natural disasters, outages, or governmental actions.

17. Termination

Koplanit may suspend or terminate accounts at its discretion for violations, risk, or misuse.

18. Changes to These Terms

We may update these Terms.

Material changes will be communicated through the Platform or by reasonable notice before taking effect. Continued use indicates acceptance.

19. Governing Law

These Terms are governed by the laws of the State of Georgia.
